Terms of Service
Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you ("Client," "you") and JCS BPO Services ("we," "us," "our"). They apply to your use of our website and to any services we provide. Where we sign a separate written service agreement or statement of work with you, that document will govern in the event of any conflict with these Terms.
Our services
We provide business process outsourcing services, which may include lead generation, appointment setting, virtual assistance, customer support, and business development support. The specific scope, deliverables, and timelines for your engagement will be set out in a proposal or statement of work agreed between us. We may refine our methods and tools over time to improve quality, provided this does not materially reduce the agreed scope.
Eligibility
You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organisation you represent. By engaging us, you confirm that the information you provide is accurate and that you are authorised to do so.
Client responsibilities
- Provide accurate, complete, and timely information, materials, and access needed for us to perform the services;
- Designate a point of contact empowered to give approvals and feedback;
- Ensure that any data, lists, or content you share with us are lawfully obtained and that you have the right to use them;
- Comply with all laws applicable to your business and the campaigns we run on your behalf.
Fees & payment
Fees, billing frequency, and payment terms are described in your proposal or statement of work. Unless stated otherwise, invoices are payable within the period specified on the invoice. Late payments may be subject to a reasonable late fee and may result in suspension of services. Fees are exclusive of taxes unless noted, and you are responsible for any applicable taxes.
Intellectual property
Each party retains ownership of intellectual property it owned before the engagement. Subject to full payment, deliverables we create specifically for you become your property once delivered. We retain ownership of our pre-existing tools, templates, methodologies, and know-how, and may use general skills and experience gained for other clients. Our website content, branding, and materials remain our property and may not be copied or reused without permission.
Confidentiality
Each party may receive confidential information from the other. Both parties agree to protect such information, use it only to perform under these Terms, and not disclose it to third parties except to advisors or subcontractors bound by similar obligations, or as required by law. These obligations continue after the engagement ends.
Acceptable use
You agree not to use our website or services to:
- Violate any law or regulation, including anti-spam and data-protection laws;
- Send unsolicited communications to contacts you have no lawful basis to contact;
- Infringe the rights of others or transmit harmful, fraudulent, or unlawful content;
- Interfere with or attempt to gain unauthorised access to our systems.
Third-party services
Our services may rely on or integrate with third-party platforms (for example email, CRM, or dialler providers). We are not responsible for the availability, performance, or policies of those third parties, and your use of them may be subject to their own terms.
Disclaimers
We perform our services with reasonable skill and care. Except as expressly stated, our website and services are provided "as is" without warranties of any kind, whether express or implied. We do not warrant that the services will be uninterrupted or error-free, or that any particular business outcome, lead volume, or revenue result will be achieved.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability arising out of or relating to the services will not exceed the fees you paid to us for the services giving rise to the claim in the three months before the event. Nothing in these Terms limits liability that cannot be limited by law.
Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of the data and materials you provide, your breach of these Terms, or your violation of any law or third-party right in connection with the services.
Term & termination
These Terms apply for the duration of your engagement. Either party may terminate as set out in the applicable statement of work, or on reasonable written notice if the other party materially breaches these Terms and fails to cure the breach within a reasonable period. On termination, you agree to pay for services performed up to the termination date. Provisions that by their nature should survive — including confidentiality, intellectual property, and limitation of liability — will continue to apply.
Governing law & disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. The parties will first attempt to resolve any dispute in good faith. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the competent courts located in the Philippines, unless your statement of work provides otherwise.
Changes to terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date shown on this page. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
